Acceptance of Terms

Welcome to Onsomble AI. These Terms of Service ("Terms") govern your access to and use of the Onsomble AI platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Onsomble AI LTD, a sole tradership registered in New Zealand ("Onsomble," "we," "us," or "our").

Description of Service

Onsomble AI is an AI-powered knowledge management platform that provides:

  • Notebooks: Create and organise notebooks containing documents, notes, and other content
  • AI Chat: Converse with AI assistants that have context from your notebook content (RAG-powered)
  • Document Processing: Upload and process PDFs, documents, spreadsheets, audio files, and web content
  • Audio Summaries: Generate AI-powered audio summaries of your content
  • Knowledge Graphs: Automatically extract entities and relationships from your documents
  • Workspace: Organise files and folders within your notebooks

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

User Accounts

Registration

To use the Service, you must:

  • Be at least 13 years of age
  • Provide accurate and complete registration information
  • Maintain the accuracy of your account information
  • Have the authority to agree to these Terms

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Termination

You may terminate your account at any time by contacting us or using the account deletion feature in settings. We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

Acceptable Use Policy

You agree not to use the Service to:

Prohibited Content

  • Upload, store, or share illegal content
  • Distribute malware, viruses, or harmful code
  • Share content that infringes intellectual property rights
  • Post defamatory, harassing, or threatening content
  • Distribute spam or unsolicited communications
  • Share content depicting child exploitation
  • Upload content that violates export control laws

Prohibited Activities

  • Attempt to gain unauthorised access to the Service or other accounts
  • Interfere with or disrupt the Service infrastructure
  • Circumvent usage limits, rate limiting, or security measures
  • Use the Service to develop competing products
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools to scrape or extract data
  • Resell or redistribute the Service without authorisation

AI Usage Guidelines

  • Do not use AI features to generate illegal or harmful content
  • Do not attempt to manipulate AI outputs for malicious purposes
  • Do not use AI-generated content to impersonate individuals
  • Comply with all applicable laws when using AI features

User Content

Ownership

You retain all ownership rights to the content you upload, create, or store on the Service ("User Content"). Onsomble does not claim ownership of your User Content.

License Grant

By uploading User Content, you grant Onsomble a non-exclusive, worldwide, royalty-free license to:

  • Store, process, and display your content to provide the Service
  • Create embeddings and knowledge graphs from your content
  • Process your content through AI services to generate responses
  • Create backups and copies for service reliability

This license is solely for the purpose of operating and improving the Service. We do not use your content for advertising or sell it to third parties.

Content Responsibility

You are solely responsible for your User Content and represent that:

  • You have all necessary rights to upload and share the content
  • The content does not infringe any third-party rights
  • The content complies with all applicable laws

Content Removal

We may remove User Content that violates these Terms or that we believe is harmful, at our sole discretion. We are not obligated to monitor User Content but reserve the right to do so.

Credits and Billing

Credit System

The Service operates on a credit-based system. Credits are consumed when you use certain features, including:

  • AI chat conversations
  • Document processing and embedding generation
  • Audio transcription and summary generation
  • Knowledge graph creation

License Tiers

We offer multiple license tiers with varying credit allocations:

  • Free: Limited credits for basic usage
  • Hobby: Increased credits for personal use
  • Pro: Professional-level credits and features
  • Enterprise: Custom plans for organisations

Billing and Payments

  • Credits are non-transferable between accounts
  • Unused credits do not roll over unless specified in your plan
  • Subscription fees are billed in advance
  • All fees are stated in New Zealand Dollars (NZD) unless otherwise specified

Refunds

Credits are generally non-refundable. However, refunds may be provided:

  • As required by New Zealand consumer protection law
  • At our discretion for service issues
  • Within 14 days of initial subscription purchase if you have not used the Service

Price Changes

We may change our pricing at any time. Price changes for existing subscriptions will take effect at the next billing cycle, with at least 30 days' notice.

Intellectual Property

Onsomble's Rights

The Service, including all content, features, and functionality (excluding User Content), is owned by Onsomble AI LTD and is protected by copyright, trademark, and other intellectual property laws.

The Onsomble name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Onsomble AI LTD.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

AI-Generated Content

No Warranties on AI Outputs

AI-generated content, including chat responses, summaries, and insights, is provided for informational purposes only. We make no warranties regarding:

  • The accuracy, completeness, or reliability of AI outputs
  • The suitability of AI outputs for any particular purpose
  • The absence of errors or biases in AI-generated content

Your Responsibility

You are responsible for:

  • Verifying AI-generated content before relying on it
  • Not using AI outputs as a substitute for professional advice
  • Reviewing and editing AI-generated content before sharing or publishing
  • Ensuring AI outputs comply with applicable laws and regulations

AI Limitations

AI systems may produce incorrect, biased, or inappropriate outputs. They do not have real-time information and may have knowledge limitations. Always exercise judgement when using AI-generated content.

Third-Party Services

The Service integrates with and relies on third-party services, including:

  • Supabase (authentication and infrastructure)
  • OpenRouter (AI model providers)
  • Various TTS providers (audio generation)

Your use of these third-party services may be subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

Links to external websites or services are provided for convenience only. We do not endorse or assume responsibility for third-party content.

Disclaimers and Limitations

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may suspend or discontinue the Service at any time without notice or liability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NEW ZEALAND LAW, ONSOMBLE AI LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Onsomble AI LTD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

Any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the courts of New Zealand, and you consent to the jurisdiction of such courts.

Dispute Resolution

If you have a dispute with us, we encourage you to first contact us at legal@onsomble.ai to attempt to resolve the dispute informally.

For disputes that cannot be resolved informally, you agree to participate in good faith in mediation before pursuing any legal action. The mediation will be conducted in New Zealand in accordance with the rules of a mutually agreed mediator.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property or data security.

Changes to Terms

We may update these Terms from time to time. When we do, we will:

  • Post the revised Terms on this page
  • Update the "Last updated" date
  • Notify you by email or through the Service for material changes (if you have an account)

Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
